These terms govern access to and use of CloudGFX League Experience, including its software, dashboards, analytics, and related services (the “Service”).
1. Agreement and eligibility
By accessing or using the Service, you agree to these terms on your own behalf and, if applicable, on behalf of the organization that authorized your access. You confirm that you are authorized to accept these terms.
2. Limited license
CloudGFX grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your organization’s internal baseball and league operations, subject to these terms. You may allow authorized users in your organization to use the Service, and you are responsible for their compliance.
3. Account and acceptable use
Keep your account credentials secure and promptly report suspected unauthorized access. Do not use the Service unlawfully, interfere with its security or operation, access another person’s account or data without authorization, or copy, modify, resell, or reverse engineer the Service except where applicable law permits.
4. Your data
You retain your rights in information and materials you submit. You authorize CloudGFX to host, process, display, and transmit that information as reasonably necessary to provide the Service to you and your organization. You are responsible for having the rights and permissions needed to submit it. Personal information remains subject to applicable privacy laws and any applicable privacy notice.
5. Ownership
The Service, including its software, design, documentation, and CloudGFX branding, is owned by CloudGFX or its licensors and is protected by applicable intellectual property laws. These terms do not transfer ownership to you.
6. Analytics and league decisions
Performance metrics and analytics are decision-support information. Review them alongside official game records, league policies, and applicable rules. The Service does not replace an authorized league official’s judgment or an official record.
7. Availability and warranties
The Service may change or be temporarily unavailable for maintenance or other reasons. To the extent permitted by applicable law, the Service is provided “as available” without warranties beyond those that cannot legally be excluded.
8. Liability
To the extent permitted by applicable law, CloudGFX is not liable for indirect, incidental, special, or consequential loss arising from use of the Service. CloudGFX’s total liability for a claim relating to the Service will not exceed the fees paid by you for the Service in the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
9. Suspension and termination
You may stop using the Service at any time. CloudGFX may suspend or terminate access if these terms are materially breached, or where needed to protect the Service, its users, or comply with law. Terms that by their nature should continue will survive termination.
10. Governing law and updates
These terms are governed by the laws of British Columbia and the applicable laws of Canada, subject to any mandatory rights that apply to you. CloudGFX may update these terms from time to time. Continued use after updated terms take effect means you accept them where permitted by law.
